Registration of commercial company

Our firm offers services in registration of companies (GmbH) in Germany, in particular in North Rhine-Westphalia. In the future, our firm may obtain support from government agencies, as well as possibility of co-financing of a company’s activities from the Funds in Germany and the EU.

  • Company registration procedure

    1. Conclusion of an agreement on cooperation with a client and obtaining of payment (pre-payment).

    2. Obtaining all necessary documents from founders for registration of a company.

    3. Preparation of foundation documents and obtaining approval from a notary.

    4. Arrival in Germany of a founder/founders, or a member of the board with a power of attorney from the founders (translated into German, legalized in accordance with the law).

    5. Accompaniment of the client to the notary’s office for foundation documents signing.

    6. Opening a bank account for the company, contribution of the authorized capital.

    7. Submission to the notary of bank documents confirming payment of the authorized capital.

    8. Registration in the Office of Entrepreneurship (Gewerbe).*

    9. Waiting for a response from the Commercial Register (Handelsregister).

    * Prior to starting commercial activities, registration in the local Office of Entrepreneurship (Gewerbe- / Ordnungsamt) is required. Such a registration is also possible during the process of company registration. The following requirements shall be met for registration in the Office of Entrepreneurship: at least one member of the Board accompanied by our officer, passport of a member of the Board and foundation agreement of the company. Business Registration Licenses shall be required in some sectors of industry (for example, real estate agents, brokers, builders, security brokers, and etc.).

    Period of company registration: 3 weeks after the payment of the authorized capital.

  • Documents required for establishment of a company

    1. Personal data of the founders and members of the board (name, surname, date and place of birth, citizenship, place of residence, passport number, place of issue and issuing authority, date of expiry).

    2. Company name (it is desirable to provide 3-4 options in order of preference).

    3. Legal address of the company (additional service upon request).

    4. Information on the amount of the authorized capital, paid amount of the authorized capital and distribution of shares among the founders.

    5. List of planned types of company’s activities.

  • Procedure of company purchase

    1. Conclusion of an agreement on cooperation with a client and obtaining of payment.

    2. Obtaining all necessary documents from the purchaser.

    3. Conclusion of an agreement on provision of a legal address (on request).

    4. Preparation of a contract for sale of capital shares and obtaining approval of amendments to the foundation documents of the company from a notary.

    5. Accompaniment of the client to the notary’s office for foundation documents signing.

    6. Submission of amendments to the bank.

    When buying a company, the following can be changed at the request of the purchaser:

    • founders and board;

    • type of activity;

    • legal and actual address.

Term for consideration of documents for obtaining a residence permit – 3 months.

A residence permit is granted for a period from 1 to 3 years, with a right to extension.

Together with an investor all members of his/her family except for adult children can obtain a temporary residence permit and, later, a permanent residence permit.

A report on the activities of the company shall be provided at the end of the financial year. In case of a positive result of entrepreneurial activity and large turnovers of the company, after 3 years of possession of a residence permit, the investor has the right to apply for obtaining a permanent residence permit in Germany (Niederlassungserlaubnis or Erlaubnis zum Daueraufenthalt-EG).
